Terms of Service

These Terms of Service (“Terms”) form a legal agreement between you (or the business you represent) and Codefolio Limited, the company that owns and operates Graftloop (referred to in these Terms as “Graftloop”, “we”, “us”). By creating an account or using the service you agree to these Terms. If you do not agree, do not use Graftloop.
1. The service
Graftloop provides a software platform for trade and service businesses, including tools for managing customers, quotes, invoices, jobs, receipts, AI-assisted replies, and messaging through the WhatsApp Business Platform operated by Meta Platforms, Inc.
2. Eligibility and accounts
Graftloop is intended for use by businesses. You must be at least 18 years old (or the age of majority in your country) and authorised to bind the business you sign up on behalf of. You are responsible for keeping your login credentials secure and for all activity under your account.
You agree to provide accurate registration information and to keep it up to date. We may suspend or terminate accounts found to contain false or misleading information.
3. Subscriptions, trials, and billing
Graftloop is offered on subscription plans. Plan details, pricing (which may be presented in your local currency where supported), features, and any free trial period are described on our pricing page. By starting a paid plan you authorise us, or whichever payment processor we use for your region (which may include Paystack, Stripe, or another provider), to charge the recurring fee on the cycle you selected, in advance, until you cancel. The processor used may differ depending on where your business is registered and which local payment methods it supports.
You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and there are no refunds for partial periods unless required by your local law. We may change pricing on at least 30 days' notice; if you do not accept the new price you may cancel before it takes effect.
Graftloop also integrates with a range of payment providers your business can choose from to collect payments from your own customers — currently including Stripe, Square, SumUp, GoCardless, PayPal, and Paystack. The provider you connect handles cardholder data and is governed by its own terms.
4. Customer data and your responsibilities
Information you upload, send through, or generate within Graftloop (including customer records, quotes, invoices, message content, and uploaded files) is your “Customer Data”. You retain all rights to your Customer Data; we process it on your behalf solely to provide the service, as described in our Privacy Policy.
You are responsible for:
- Having a lawful basis to send messages to the contacts you upload or message via Graftloop.
- Obtaining any opt-in consents required under the laws that apply where you and your customers are located (for example, the WhatsApp Business Policy, the UK's Privacy and Electronic Communications Regulations, the EU ePrivacy Directive, the US Telephone Consumer Protection Act and CAN-SPAM, the Australian Spam Act, Canada's CASL, and equivalent regimes elsewhere) before contacting customers.
- Honouring opt-out and STOP requests promptly.
- Operating a legitimate, registered business in your jurisdiction and using Graftloop in compliance with all laws that apply to that business (including those governing your trade, advertising, consumer protection, and data protection).
- The accuracy and lawfulness of all Customer Data and message content.
5. Acceptable use
You will not, and will not permit anyone using your account to:
- Send spam, unsolicited bulk messages, or content that violates the WhatsApp Business Policy or Meta's commerce policies.
- Send threatening, harassing, defamatory, or unlawful content.
- Impersonate another person or business.
- Attempt to access another customer's account or data.
- Reverse-engineer, copy, or resell the service.
- Use the service to develop a competing product.
- Bypass technical limits, rate limits, or security controls.
- Use the AI features to generate content that is misleading, fraudulent, or illegal.
We may suspend or terminate accounts that breach these rules without prior notice if the breach poses a risk to other users, our infrastructure, or the WhatsApp Business Platform.
6. WhatsApp and Meta
Graftloop sends and receives messages on your behalf via the WhatsApp Business Cloud API operated by Meta Platforms, Inc. Graftloop integrates directly with Meta — we do not route through a third-party Business Solution Provider. Use of WhatsApp is governed by Meta's own terms, including the WhatsApp Business Policy, WhatsApp Business Solution Terms, and the Commerce Policy. By using Graftloop's WhatsApp features you confirm you will comply with those policies. Meta may suspend a connected WhatsApp Business Account independently of us; we are not liable for downtime or delivery failures caused by Meta's decisions.
7. Intellectual property
We grant you a non-exclusive, non-transferable, revocable licence to use Graftloop during the term of your subscription. The service, including its software, design, and trademarks, remains our property. You grant us a limited licence to host, copy, transmit, and display Customer Data solely as needed to provide the service.
8. AI-generated content
Graftloop's AI features generate suggestions and drafts based on your prompts and account context. You are responsible for reviewing AI-generated content before sending it to a customer or relying on it for a decision. We do not guarantee the accuracy, completeness, or fitness for purpose of AI output, and we are not liable for outcomes resulting from AI-generated content you choose to act on.
9. Confidentiality
Each party agrees to keep the other's confidential information confidential and to use it only as needed to perform under these Terms. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
10. Warranties and disclaimers
We provide the service “as is” and, to the maximum extent permitted by law, disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death, personal injury, or fraud.
11. Limitation of liability
Subject to clause 10, our total aggregate liability under or in connection with these Terms shall not exceed the total fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for indirect, special, or consequential losses, lost profits, lost data, or business interruption.
12. Indemnity
You agree to indemnify and hold us harmless from any claim arising out of: (a) your Customer Data or message content, (b) your breach of these Terms, or (c) your violation of any law or third-party right (including the WhatsApp Business Policy).
13. Term and termination
These Terms apply from the date you create an account and continue until terminated. You may terminate at any time by cancelling your subscription and deleting your account. We may terminate or suspend immediately for material breach, non-payment, or activity that puts other users or our infrastructure at risk. Sections that by nature should survive termination (including 4, 7, 9, 11, and 12) survive.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or in-app banner at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
15. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of that jurisdiction have exclusive jurisdiction over any dispute arising under or in connection with them, except that we may bring proceedings to enforce our intellectual-property rights in any competent jurisdiction. Where mandatory consumer-protection rights in your country override this choice of forum, those rights are not affected.
